Terms of Service

These Terms of Service ("Terms") govern access to and use of the Baton software platform at baton.services (the "Platform"), operated by Baton Services, LLC ("Baton," "we," "us"). By signing in to or using the Platform, you agree to these Terms.
These Terms cover the software only. If your organization engages Baton for back-office services (accounting, payroll support, compliance, or similar work), that engagement is governed by a separate signed agreement between your organization and Baton. If anything here conflicts with that agreement as to the services themselves, the signed agreement controls. These Terms govern the Platform independently of that engagement.
Accounts and access
- Access to the Platform is by invitation from an authorized user at your organization, or from Baton.
- You're responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must provide accurate information and keep it current.
- We may suspend or terminate access if we reasonably believe an account has been compromised, misused, or used in violation of these Terms.
Acceptable use
You agree not to:
- Access or attempt to access data, accounts, or areas of the Platform you are not authorized to use
- Probe, scan, or test the Platform's security, or attempt to bypass any access control
- Reverse engineer, decompile, or attempt to extract the Platform's source code, except where applicable law expressly permits it
- Use the Platform to store or transmit unlawful content, or in a way that violates the rights of others
- Interfere with or disrupt the Platform's operation, or attempt to access it through automated means not provided by us
Your data
Your organization owns the data it enters into or uploads to the Platform. We process that data to provide the Platform's functionality, as described in our Privacy Policy. You're responsible for the accuracy and legality of the data your organization submits, and for having the right to submit any personal information about your employees, customers, or vendors that it contains.
Our intellectual property
The Platform itself, including its software, design, and underlying technology, is owned by Baton Services, LLC and is protected by applicable intellectual property laws. These Terms grant you a limited right to use the Platform as intended; they don't transfer any ownership in it to you.
Third-party services
The Platform integrates with third-party services (including Google, Intuit QuickBooks, and Avalara) to provide certain functionality. Your use of those integrations may also be subject to that provider's own terms. We aren't responsible for the availability or behavior of third-party services we don't operate.
Availability
We aim to keep the Platform available and reliable, but we don't guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Platform, and we'll make a reasonable effort to give notice before changes that materially affect your use of it.
Disclaimer of warranties
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, Baton disclaims all warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability
To the maximum extent permitted by law, Baton is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
Termination
We may suspend or terminate your access to the Platform if you violate these Terms. If your organization's engagement with Baton ends, access to the Platform ends with it, subject to the terms of your organization's separate agreement with us regarding transition of data.
Changes to these Terms
We may update these Terms from time to time. We'll update the effective date above when we do. Continued use of the Platform after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be brought in the state or federal courts located in Florida, and you consent to that jurisdiction and venue.
